Nasdaq Dubai Announcement For immediate release 23 December 2020 Alpha Star Holding III Limited (the "Issuer") ANNOUNCEMENT OF TRANSACTION U.S.$500,000,000 Trust Certificates due 2022 (the "Certificates") DAMAC Real Estate Development Ltd is the guarantor of the Certificates issued by the Issuer. Maksab Holding Limited is a wholly owned subsidiary of DAMAC Real Estate Development Ltd which, in turn, is wholly owned by Damac Properties Dubai Co PJSC. Maksab Holding Limited will acquire 25% of the outstanding share capital of Nine Elms SH Co Ltd from Nine Elms SR Co Ltd. The proposed Transaction will bring DAMAC Real Estate Development Ltd’s ownership of the outstanding share capital of Nine Elms SH Co Ltd to 40%.
